0. Brand identity and relationship between entities

For the purposes of these conditions:

• “Sarahkeer” is a trademark registered in Dubai by SARAHKEER INTERNATIONAL TRADING CO. LLC (registered owner).
• “The Company” is SK BEAUTY EUROPE, SL , a Spanish entity that operates commercially under the Sarahkeer brand and that, by virtue of internal representation/license agreements, holds rights of representation and commercial exploitation of the brand in Spain, Europe, LATAM and the United States.

In the rest of the document, the powers of management of the Program (approvals, payments, changes of conditions, anti-fraud, etc.) belong to The Company .

1. Object

This document governs participation in the Affiliate Program (the “Program”), through which affiliates promote the Ainira Eau de Parfum 100 ml (the “Product”) and receive a commission for valid sales attributed to their coupon and/or approved tracking methods.

2. Definitions

• Affiliate: natural or legal person approved by The Company to participate in the Program.
• Affiliate Coupon: a unique discount code assigned to each Affiliate for their audience.
• Valid Sale: Product order that (i) has been paid for, (ii) has been delivered or is listed as delivered, (iii) has not been cancelled, refunded or returned, and (iv) meets these conditions.
• Net Sale Amount: Product amount excluding VAT, shipping costs, taxes, surcharges and any amounts not attributable to the Product.
• Promotional Content: posts, videos, stories, links, texts or commercial communications related to the Product.

3. Program Scope (MVP)

• Territory: exclusively Spain (shipments to addresses in Spain).
• Product: exclusively Ainira Eau de Parfum 100 ml.
• Channels: TikTok and Instagram are the main ones. Other channels require prior approval.

The Company may expand or modify the scope in the future.

4. Application, approval and access

• Participation requires express approval by The Company (by invitation or request).
• The Company may request information to validate suitability (e.g., main audience in Spain).
• The Company may reject, suspend or revoke participation due to non-compliance, fraud, reputational risk or internal criteria.

5. Affiliate Coupon (customer discount)

Each Affiliate will have a unique Affiliate Coupon with a 15% discount on the official RRP of the Product.

• Not valid in conjunction with other coupons/promotions unless authorized in writing by the Company.
• Valid only for Ainira.
• Limited to 1 use per customer (per user/email) and subject to expiration or additional limits if necessary to prevent abuse.

The Affiliate may not publish the coupon on coupon websites/channels, deals or mass discounts without express written permission, nor present the Product as a clearance or sale in a way that degrades the brand positioning.

6. Sales attribution

Sales where the Affiliate Coupon is used at checkout will be attributed to the Affiliate. The Company may enable tracking links (UTMs, dedicated links, or others) for support purposes. In case of conflict, the use of the coupon prevails unless otherwise determined by the Company for technical or anti-fraud reasons.

7. Affiliate Commission

Method: commission only (no fixed fee). The commission is calculated on the Net Sale Amount of the Product (excluding VAT and shipping).

7.1. Percentages by monthly periods (progressive application)

The percentages are applied progressively in tiers, on a monthly basis, depending on the number of approved Valid Sales the Affiliate receives in that month. If a higher tier is reached, only the marginal sales within that tier are remunerated at the higher percentage ( it is not retroactive ).

Example: If an Affiliate achieves 18 Valid Sales in a month, they will be paid 15% on the first 5 sales, 18% on the next 10 sales (from 6 to 15), and 20% on the last 3 sales (from 16 to 18). The monthly commission will be the sum of these three amounts.

7.2. Rounding and calculation

The commission is calculated per order (product line) and rounded to two decimal places. The monthly total is obtained by adding the commissions of the approved Valid Sales.

7.3. Numerical example (illustrative)

Illustrative example: Official RRP €110.00 (VAT included), affiliate coupon -15% (price €93.50 incl. VAT) and VAT 21%. The net base of the Product would be 93.50 / 1.21 = €77.27 (approx.).

8. Validation of commissions, refunds and chargebacks

• Commissions are recorded as “pending”.
• Commissions become "approved" when 14 calendar days have passed since delivery (or "delivered" status) and there is no return, refund, cancellation or chargeback.
• If a return, refund, fraud, or chargeback occurs, the commission will be voided. If a commission already paid is subsequently voided due to a chargeback or fraud, the Company may offset it against future payments.

9. Product Return Policy (impact on commissions)

The customer has the right of withdrawal under the applicable legal terms (14 calendar days).

Essential condition for returns due to withdrawal: The Company will only accept returns if the Product is returned unopened, with the packaging and seal/cellophane intact.

For hygiene/health protection reasons, if the Product is delivered sealed and the seal is removed, no withdrawal will be accepted where applicable under consumer regulations.

The above does not affect incidents due to defective or damaged products, shipping errors, or other legally applicable situations, which will be handled through the support channel.

10. Affiliate Obligations (transparency and compliance)

• Identify Promotional Content as commercial communication/advertising where appropriate (including where there is commission remuneration).
• Follow the tools and best practices of each platform (e.g., visible labels or notices).
• Do not make false or misleading claims (duration/projection/notes/claims that cannot be verified).
• Spam, bots, buying followers, or fake engagement are prohibited.
• Impersonating the Company or using official assets as if it were an official channel is prohibited.
• Publication of the coupon on coupon/deal channels without authorization is prohibited.
• Paid campaigns bidding on brands (“Ainira”, “Sarahkeer” or variants) are prohibited, unless expressly authorized.

11. Use of trademark, materials and intellectual property

• The Company grants a limited, non-exclusive, and revocable license to use the approved name, logos, and materials (including those of the Sarahkeer brand) exclusively to promote Ainira within the Program.
• Modifying logos, claims, or creatives outside of the brand brief/guidelines is not permitted.
• Unless otherwise agreed, the Affiliate retains ownership of its content and authorizes the Company to repost/share organically with attribution, unless otherwise stated in writing.

12. Special campaigns (e.g., Valentine's Day)

The Company may launch temporary campaigns (e.g., Valentine's Day) with milestone bonuses, specific communication rules, and/or special creative materials/briefings. Unless otherwise stated, the Affiliate Coupon discount remains at 15% and will not be increased to avoid code wars.

13. Payments

• Frequency: monthly.
• Payment window: between the 5th and the 10th of the following month.
• Minimum payment threshold: 10 €.
• Method: bank transfer or other agreed means.

13.1. Mandatory invoice and tax requirements

For commission payments, the Affiliate must issue and send the Company a valid invoice corresponding to the billing period. The Company will only make the transfer after receiving the invoice and its basic validation (identification data, number, date, description, basis, and applicable taxes).

The invoice must reflect the concept of affiliate services/collaboration and must correspond to the amount of approved commissions indicated in the monthly settlement statement that the Company will provide to the Affiliate.

The Affiliate is responsible for correctly applying VAT/withholding taxes or other taxes according to their tax regime. If in doubt, they should consult their advisor.

14. Data protection

Each party will process the data necessary to manage the Program and will comply with applicable regulations. The Affiliate will not access the Company's customers' personal data except as strictly necessary and in accordance with the law.

15. Duration, suspension and termination

• The Program will remain in effect as long as the Affiliate remains approved.
• The Company may suspend or terminate participation for non-compliance, fraud, deceptive practices, reputational damage or violation of these conditions.
• Upon termination, the Affiliate will cease use of brand, coupon and materials, and will remove links/codes when requested.

16. Modifications

The Company may modify these terms and conditions by notifying the Member. Continued participation in the Program implies acceptance of the current version.

17. Limitation of liability

The Company will not be liable for any indirect losses incurred by the Affiliate (loss of profits, loss of followers, etc.). Any liability, if applicable, is limited to the amount of approved commissions pending payment.

18. Applicable law and jurisdiction

Spanish law. Jurisdiction: Granollers (Barcelona), unless otherwise required by law.

This annex includes sample templates. It does not replace tax advice. Adjust the percentages (e.g., personal income tax withholding) and VAT according to the issuer's tax regime.
